Corporate & Commercial
Formation, governance and day-to-day counsel for companies that are growing quickly.
Most commercial problems are cheaper to prevent than to litigate. We act as standing counsel to companies that need a lawyer who already knows the business, so advice arrives in hours rather than after a week of briefing.
The work spans incorporation and structuring, shareholder and founder arrangements, board and secretarial compliance, commercial negotiation, and the regulatory filings that keep a company in good standing. Where a matter needs a specialist, we bring one in and stay accountable for the outcome.
What’s included
- Company incorporation and constitutional documents
- Founder, shareholder and investment agreements
- Board resolutions, minutes and statutory registers
- Commercial contract negotiation and drafting
- Regulatory filings and annual compliance calendar
- Standing availability for day-to-day questions
How it runs
Understand the business
A working session on what the company does, who it sells to, and where the commercial risk actually sits.
Map the obligations
A written note setting out the filings, approvals and contractual commitments the company already carries.
Close the gaps
Documents drafted or renegotiated in priority order, starting with whatever is most exposed.
Stay on standby
A named point of contact for the questions that come up between matters.
Common questions
Do you work with companies that already have a lawyer?
Often, yes. Some clients keep us for commercial and regulatory work while another firm handles litigation, or bring us in for a second view on a significant document. We will tell you plainly if we think you are better served by your existing counsel.
Can you help at the pre-incorporation stage?
Yes. Structuring decisions made before incorporation are the cheapest ones to get right, and the most expensive to unwind later. We would rather have that conversation early.
How do you charge for ongoing advisory work?
Usually a monthly retainer covering a defined scope, with anything outside that scope quoted separately before work begins. You will not receive an invoice you have not already seen coming.
